Terms of Service
Draft of 19 September 2026
This is an unreviewed draft
These terms have not been reviewed or approved by a lawyer, and they are not legal advice. The positions below are settled as DataSpring's intended terms, but the drafting itself still needs a lawyer's sign-off. To sign a contract, write to legal@dataspring.app.
1. Agreement to Terms
By accessing or using DataSpring ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
DataSpring is a business intelligence platform. It extracts data from the source systems you connect, stores it in a data warehouse that DataSpring operates for you in the European Union, transforms it into metrics, and lets you and the agents you authorise query and visualise it. DataSpring can also query a data warehouse you already own, if you prefer to run one yourself.
You author the pipelines that decide what is extracted and from which systems, in DataSpring's pipeline language. Where DataSpring writes or changes a pipeline for you — typically during onboarding, as a professional service — it does so on your documented instructions, and the pipeline remains yours.
How that stored data is protected, who else may touch it and how it is deleted is set out in the data processing agreement.
3. Account Registration
To use the Service, you must create an account and provide accurate information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer or attempt to extract source code from the Service
- Use the Service to compete with DataSpring
- Share your account credentials with unauthorized users
5. Your Data
You retain all rights to your data. DataSpring does not claim ownership of any data you access through, or load into, the Service, and does not use it to train models or for any purpose other than providing the Service to you. You are responsible for ensuring that you have the right to extract the data in the source systems you connect and to have it stored and processed as described in the data processing agreement.
6. Payment Terms
Paid plans are billed monthly or annually in advance. All fees are non-refundable except as expressly stated otherwise. We may change our pricing with 30 days' notice.
7. Free Trial
We may offer a free trial period. At the end of your trial, you will be required to select a paid plan to continue using the Service. We reserve the right to modify or terminate free trial terms at any time.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue the Service at any time for maintenance, security, or other reasons.
9. Intellectual Property
The Service and its original content, features, and functionality are owned by DataSpring and are protected by international copyright, trademark, and other intellectual property laws.
10. Limitation of Liability
To the maximum extent permitted by law, DataSpring shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service.
11. Indemnification
You agree to indemnify and hold harmless DataSpring and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account at any time for violation of these Terms or for any other reason. Upon termination, your right to use the Service will immediately cease. You have thirty days from termination to request an export of your data in the managed warehouse, and it is deleted within thirty days after that, as described in the data processing agreement.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Service constitutes acceptance of the modified Terms.
14. Governing Law
These Terms are governed by the laws of Denmark, without regard to their conflict of law provisions. The courts of Copenhagen have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory rule of the law of your place of residence or establishment that gives you the right to bring proceedings elsewhere.
The data processing agreement is governed by the same law and forum. An earlier version of this clause named the State of Delaware; it was inherited and did not match a service operated from Denmark that stores personal data in the European Union.
